What do key terms mean in these terms?
1
“Candidate” means any person introduced or presented by HALITI. “Introduction” occurs when we provide candidate details to you, arrange an interview, or facilitate contact that leads to an engagement. “Engagement” means the employment, engagement, or use of a candidate by you or by any third party to whom you introduce the candidate, whether directly or indirectly, on a permanent, fixed-term, contract, consultancy, or any other basis. “Fee” means the recruitment fee agreed for the assignment and confirmed in writing.

When do these terms apply?
2
These Terms apply from the time you request or accept our services, request candidate details, interview a candidate introduced by us, or otherwise engage with an Introduction. If we provide an assignment confirmation or written terms for a specific search, those written terms will apply in addition to these Terms.
You agree to comply with applicable employment and equality laws and to operate a fair recruitment process. HALITI supports inclusive hiring and expects clients to assess candidates based on role-relevant criteria.
Both parties agree to handle personal data and confidential information responsibly. Candidate information must be processed only for recruitment purposes and stored securely. You must not retain candidate data for longer than necessary for your legitimate hiring needs, and you must comply with applicable data protection law in relation to candidate information provided by HALITI.
HALITI does not accept liability for losses arising from a hiring decision, the subsequent performance of a Candidate, or information supplied by a Candidate that proves to be inaccurate, except where liability cannot be excluded by law. Our liability is limited to the extent permitted by law and, where applicable, may be capped as set out in the assignment confirmation.
These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, unless agreed otherwise in writing.
We may update these Terms from time to time. The latest version will be posted on this page. For ongoing assignments, the version in force at the time the assignment is confirmed will apply unless otherwise agreed.

Candidate information is provided in confidence and must be used only for the purpose of considering the candidate for roles within your organisation. You agree not to share candidate details outside your organisation or with third parties without our prior written consent. You agree to inform us promptly of interview outcomes, hiring decisions, and engagement start dates so that the process can be managed accurately.
How are fees calculated and agreed?
Fees are agreed in writing for each assignment, either as a percentage of remuneration or as a fixed fee, and may depend on role seniority and search scope. “Remuneration” may include base salary and any guaranteed or contractual elements; the exact definition will be confirmed in the assignment confirmation. Where remuneration is not disclosed, we may invoice based on a reasonable estimate of total remuneration for the role.
Invoicing and payment terms
A fee becomes payable when an engagement results from an introduction by HALITI. This includes situations where the candidate is engaged directly by you or indirectly through an associated entity, subsidiary, parent company, or any third party to whom you have passed the candidate’s details. A fee may also be payable if you engage a candidate introduced by us within a defined period after the introduction; the applicable period and terms will be confirmed in writing for each assignment.
Invoices are issued when the Candidate accepts an offer or starts an Engagement, depending on the agreed terms. Payment is due within the period stated on the invoice and agreed in writing. If payment is late, we reserve the right to charge interest and recover reasonable costs associated with collecting overdue amounts, to the extent permitted by law.
If a rebate or replacement guarantee is offered, it will be confirmed in writing for the relevant assignment and will apply only if all conditions are met, including timely notification of termination and full payment of the original invoice within the agreed payment period. Guarantees do not typically apply where termination results from redundancy, restructuring, misconduct, changes in role scope, or factors outside the Candidate’s control, unless agreed otherwise in writing.
You are responsible for ensuring that the candidate is suitable for your needs, including verifying identity, right to work, and qualifications and obtaining references and background checks as appropriate for the role. Any offer and employment or engagement decision is made by you at your discretion. You must provide accurate information about the role, reporting lines, location, and compensation to enable a fair and compliant recruitment process.
